Governance & Compliance

InspiraLaw advises corporations and boards of directors on a full range of issues involving the fiduciary duties of directors, governance policies and programs, and compliance with federal and state law. We conduct legal analysis on behalf of boards of directors, executive management, and special committees, regarding internal corporate structure, risk assessment and management, conflicts of interest, self-dealing transactions, disclosure obligations, crisis management, executive succession, executive compensation, antitrust compliance, and interactions with the Internal Revenue Service and State of California agencies. We routinely assist in developing and building effective Boards of Directors and attend Board meetings. We work closely with management to gain a deep understanding of our clients’ businesses, technology, systems, and products to support corporate goals.

Business Transactions

A significant portion of our work involves negotiating and structuring business transactions for our clients. We counsel companies and nonprofits in connection with their day-to-day commercial agreements, including nondisclosure agreements, technology development agreements, licensing agreements, distribution agreements, manufacturing and supply agreements, employment agreements, convention agreements, and intellectual property agreements.
